Public Finance Tax

Sherman & Howard's public finance tax law attorneys are nationally recognized tax law practitioners providing advice to governmental issuers of bonds, underwriters and other purchasers on structuring bond issues to comply with federal income tax laws applicable to tax-exempt bonds. These laws are complex, and include several sections of the Internal Revenue Code and hundreds of pages of Internal Revenue Service regulations. We also provide advice on compliance with these laws after bonds are issued, such as advice on compliance with the restrictions under the Internal Revenue Code as to use of tax-exempt bond financed facilities by non-governmental entities, compliance with the limits in the Internal Revenue Code on the yields of investments of the monies received from tax-exempt bonds, and the requirements for rebating a portion of the investment income derived from investments of these monies. We have assisted issuers in responding to IRS audits, which have become increasingly frequent in the last several years due to increased enforcement initiatives by the IRS. We have also sought and received private letter rulings from the Internal Revenue Service as to whether certain specific transactions can be financed with tax-exempt bonds in accordance with federal income tax laws.
