Representative Matters

• Represents leading media and entertainment service providers, as well as a leading global provider of engineering and architectural services, with respect to a wide variety of legal matters, including mergers and acquisitions, corporate governance issues, internal corporate restructurings and general contract matters.
• Represents a publicly held bank holding company with respect to ongoing 1934 Act reporting obligations, compliance with the Sarbanes-Oxley Act of 2002 and related corporate governance matters.
• Represents clients with respect to private placements of equity securities and other capital raising transactions including providing advice regarding compliance with federal and state securities laws in connection with such transactions.
• Represents physician groups in organizational matters, including the structuring of joint ventures, accountable care organizations and other entities, and negotiates and documents practice mergers, purchases and sales.
• Represents a wide array of clients with respect to the formation, conversion and governance of  corporations, general partnerships, limited partnerships and limited liability companies, as well as the negotiation and documentation of a wide range of shareholder, service, purchase and sale and other agreements between clients and third parties.
